PLEASE READ THIS AGREEMENT CAREFULLY. THIS IS A LEGALLY BINDING CONTRACT BETWEEN YOU AND AGAPE PRO INC.
This Affiliate Program Agreement ("Agreement") is entered into between you ("Affiliate", "you", or "your") and Agape Pro Inc. ("Agape Pro", "we", "us", or "our").
This Agreement governs your application to and participation in the Agape Pro Affiliate Program ("Program").
By applying to or participating in the Program, you agree to this Agreement, our Affiliate Program Policies, Terms of Service, and any other policies referenced herein.
Definitions
Affiliate Link A unique referral link assigned to you that tracks referrals to Agape Pro.
Agreement This Affiliate Program Agreement together with the Agape Pro Affiliate Program Policies and Terms of Service.
Commission The compensation paid to you for qualified referrals under this Agreement.
Qualified Purchase A completed purchase of Agape Pro products or services made by a customer who:
Clicked your Affiliate Link
Completed the purchase
Meets all eligibility requirements in this Agreement
Program Policies The official rules and guidelines governing participation in the Agape Pro Affiliate Program.
Enrollment and Participation
To participate in the Program, you must submit an affiliate application.
Agape Pro reserves the sole right to approve or reject any affiliate application.
Once accepted, your participation is subject to continued compliance with this Agreement and the Affiliate Program Policies.
By joining the Program, you consent to receiving communications from Agape Pro related to the affiliate program, including onboarding updates, program announcements, and administrative communications.
Your Responsibilities
As an affiliate, you agree to the following:
You confirm that:
• You have the legal authority to enter into this Agreement • You will comply with all applicable laws and regulations • You will follow the Agape Pro Affiliate Program Policies • You will promote Agape Pro honestly and ethically • You will comply with marketing laws including FTC disclosure rules, CAN-SPAM, and TCPA regulations
You are responsible for ensuring that your marketing practices are lawful in your jurisdiction.
A violation of this section may be considered a material breach of this Agreement.
Commissions
Affiliates may earn commissions when a Qualified Purchase occurs through their Affiliate Link.
A purchase is considered qualified only when:
A user clicks your affiliate link
The user completes the purchase
The user remains an active customer in good standing for at least 45 days
Agape Pro reserves the right to determine whether a transaction qualifies for commission.
Commission payments may be withheld if:
• Fraudulent activity is suspected • Terms of this Agreement are violated • Payment information is incomplete or inaccurate
Commissions are typically paid monthly once your account balance exceeds $50 USD.
Agape Pro may deduct commissions for:
• Refunds • Chargebacks • Fraudulent transactions • Violations of program policies
Tracking and Attribution
Affiliate commissions are tracked using the Affiliate Link assigned to you.
Agape Pro is not responsible for tracking failures caused by:
• Incorrect affiliate links • Browser cookie blocking • Private browsing modes • User clearing cookies • Links not used during the purchase process
If a customer does not use your Affiliate Link, we cannot guarantee commission attribution.
Confidentiality
During your participation in the Program, you may receive confidential information from Agape Pro.
Confidential Information may include:
• Business strategies • Customer information • Marketing data • Software or system details
You agree to keep this information confidential and use it only for the purpose of participating in the Program.
This obligation continues even after termination of this Agreement.
Intellectual Property
Agape Pro grants you a limited, non-exclusive, revocable license to use Agape Pro branding and marketing materials solely for promoting the Program.
You agree that you will:
• Use only approved Agape Pro logos and brand materials • Not modify Agape Pro trademarks without permission • Not represent yourself as an employee or official representative of Agape Pro
All goodwill and intellectual property rights remain the property of Agape Pro Inc.
Agape Pro may request that you stop using brand assets at any time.
Use of Affiliate Content
By participating in the Program, you grant Agape Pro permission to use content you create related to Agape Pro promotions.
This may include:
• Testimonials • Marketing content • Social media posts • Promotional materials
Agape Pro may use this content for marketing, training, promotional campaigns, or improving its services.
This permission is royalty-free and worldwide.
Term and Termination
This Agreement begins when your affiliate application is approved.
Either party may terminate this Agreement at any time by providing 30 days written notice.
Agape Pro may terminate this Agreement immediately if you:
• Violate affiliate policies • Engage in fraudulent or deceptive marketing • Misrepresent Agape Pro products or services • Damage the reputation of Agape Pro
If terminated for violation, any unpaid commissions may be forfeited.
Upon termination, you must immediately stop using:
• Affiliate Links • Agape Pro branding • Promotional materials
Indemnification
You agree to indemnify and hold Agape Pro harmless from any claims, damages, or legal costs resulting from:
• Your violation of this Agreement • Your marketing practices • Violations of advertising or privacy laws • Your misuse of Agape Pro trademarks or materials
Limitation of Liability
To the fullest extent permitted by law, Agape Pro will not be liable for any indirect, incidental, or consequential damages.
Agape Pro's total liability under this Agreement will not exceed the total commissions paid to you in the three months preceding the claim.
Dispute Resolution
This Agreement shall be governed by the laws of the Commonwealth of Virginia, United States.
Any disputes arising under this Agreement will be resolved through binding arbitration in Virginia Beach, Virginia, unless otherwise required by law.
Both parties agree to resolve disputes individually and waive participation in class action lawsuits.
Force Majeure
Neither party will be responsible for delays or failure to perform obligations caused by events beyond reasonable control, including:
• Natural disasters • Government actions • Internet outages • War or terrorism • Labor disputes • Epidemics or pandemics
General Terms
This Agreement, together with the Affiliate Program Policies and Terms of Service, constitutes the entire agreement between you and Agape Pro regarding the affiliate program.
Agape Pro may update this Agreement at any time. Continued participation in the Program indicates acceptance of updated terms.
